BOND STAR DEVELOPMENT LTD [2005] HKCU 1529\u6848\uff0c\u5927\u696d\u4e3b\u7684\u8981\u7d04\u6216\u51fa\u50f9(offer)\u9700\u8981\u5728\u516c\u5e73\u5408\u7406\u7684\u88dc\u511f\u7bc4\u570d\u4e4b\u5167\uff0c\u624d\u80fd\u6eff\u8db3\u300c\u5df2\u63a1\u53d6\u5408\u7406\u6b65\u9a5f\u300d\u9019\u689d\u4ef6\u3002\u6848\u4e2d\u5f37\u8abf\u8981\u7d04\u4e26\u4e0d\u9700\u8981\u8207\u571f\u5730\u5be9\u88c1\u8655\u5224\u5b9a\u300c\u6b63\u78ba\u300d\u7684\u6536\u8cfc\u50f9\u683c\u5b8c\u5168\u76f8\u540c\uff0c\u800c\u5927\u696d\u4e3b\u548c\u5c0f\u696d\u4e3b\u5c0d\u516c\u5e73\u5408\u7406\u7684\u6536\u8cfc\u50f9\u683c\u7684\u8a55\u4f30\u4ea6\u5f80\u5f80\u6709\u5dee\u8ddd\uff0c\u56e0\u6b64\u516c\u5e73\u5408\u7406\u7684\u88dc\u511f\u662f\u6709\u4e00\u500b\u7bc4\u570d\u7684\u3002<\/p>\n\n\n\n<p>\u90a3\u9ebc\u9019\u500b\u7bc4\u570d\u7a76\u7adf\u8981\u5982\u4f55\u5224\u65b7\u5462\uff1f<\/p>\n\n\n\n<p>\u6839\u64daINTELLIGENT HOUSE LTD v CHAN TUNG SHING &amp; ORS [2008] 4 HKC 42\u6848\uff0c\u7531\u4fe1\u8b7d\u826f\u597d\u7684\u4f30\u503c\u516c\u53f8\u6070\u7576\u5730\u8a55\u4f30\u5f97\u51fa\u7684\u6536\u8cfc\u50f9\u683c\uff0c\u4e00\u822c\u800c\u8a00\u90fd\u6703\u843d\u65bc\u516c\u5e73\u5408\u7406\u7684\u88dc\u511f\u7bc4\u570d\u4e4b\u5167\u3002<\/p>\n\n\n\n<p>\u800c\u6839\u64daGENTWAY LTD (\u96cb\u5049\u6709\u9650\u516c\u53f8) v LI KING FONG (\u674e\u743c\u82b3) &amp; ORS [2011] 3 HKC 370\u6848\uff0c\u4e00\u500b\u516c\u5e73\u5408\u7406\u7684\u6536\u8cfc\u50f9\u683c\u9700\u8981\u53cd\u6620\u6d89\u4e8b\u5927\u5ec8\u7684\u91cd\u65b0\u767c\u5c55\u7684\u6f5b\u529b(redevelopment potential)\u3002<\/p>\n\n\n\n<p><strong>(b) \u5927\u696d\u4e3b\u662f\u5426\u5df2\u901a\u904e\u4e00\u5207\u53ef\u80fd\u7684\u65b9\u5f0f\u5411\u5c0f\u696d\u4e3b\u50b3\u9054\u4e86\u8981\u7d04<\/strong><\/p>\n\n\n\n<p>\u6839\u64daGENTWAY LTD\u6848\uff0c\u5927\u696d\u4e3b\u9700\u901a\u904e\u4e00\u5207\u53ef\u80fd\u7684\u65b9\u5f0f\u5411\u5c0f\u696d\u4e3b\u50b3\u9054\u5176\u63d0\u51fa\u7684\u8981\u7d04\u3002\u9019\u4e9b\u65b9\u5f0f\u5305\u62ec\u4f46\u4e0d\u9650\u65bc\u8981\u7d04\u4fe1\u3001\u901a\u77e5\u66f8\u548c\u5ee3\u544a\u7b49\uff0c\u800c\u5927\u696d\u4e3b\u53ef\u4ee5\u76f4\u63a5\u6216\u9593\u63a5\u7684\u5f62\u5f0f\u50b3\u9054\u7d66\u5c0f\u696d\u4e3b\u3002\u53e6\u5916\uff0c\u5373\u4fbf\u5c0f\u696d\u4e3b\u6c92\u6709\u56de\u61c9\uff0c\u4f46\u5c0f\u696d\u4e3b\u6709\u8db3\u5920\u6642\u9593\u8003\u616e\u7684\u8a71\uff0c\u571f\u5730\u5be9\u88c1\u8655\u4e5f\u6703\u5224\u5b9a\u8981\u7d04\u5df2\u7d93\u50b3\u9054\u4e88\u5c0f\u696d\u4e3b\u3002<\/p>\n\n\n\n<p><strong>(c) &amp; ORS v CIBEAN DEVELOPMENT CO LTD (\u4ed5\u5fc5\u76c8\u767c\u5c55\u6709\u9650\u516c\u53f8) [2013] HKCU 1372\u6848\uff0c\u5927\u696d\u4e3b\u63a1\u53d6\u5408\u7406\u6b65\u9a5f\u7684\u6642\u9593\u9ede\u61c9\u70ba\u76f4\u81f3\u6848\u4ef6\u5be9\u8a0a\u958b\u59cb\u4e4b\u524d\uff0c\u4ea6\u8868\u793a\u5373\u4fbf\u5927\u696d\u4e3b\u662f\u5728\u63d0\u51fa\u5f37\u62cd\u4e4b\u5f8c\u624d\u4f5c\u51fa\u5408\u7406\u6b65\u9a5f\u4ee5\u6536\u8cfc\u9918\u4e0b\u696d\u6b0a\uff0c\u4e5f\u80fd\u7b26\u5408\u8981\u6c42\u3002<\/p>\n\n\n\n<p>\u4e0d\u904e\uff0c\u503c\u5f97\u7559\u610f\u7684\u662f\uff0c\u6839\u64daCENTURY
