terms)\uff0c\u5373\u4f7f\u5408\u7d04\u6c92\u6709\u8a02\u7acb\u9019\u4e9b\u689d\u6b3e\uff0c\u9019\u4e9b\u96b1\u542b\u689d\u6b3e\u4f9d\u7136\u6709\u6548\uff0c\u4f46\u53ea\u5c40\u9650\u65bc\u8981\u6c42\u5546\u5bb6\u4ee5\u5408\u7406\u7a0b\u5ea6\u7684\u8b39\u614e\u63d0\u4f9b\u670d\u52d9\uff0c\u5728\u6c92\u6709\u8a02\u7acb\u6642\u9593\u7684\u5408\u7d04\u4e2d\uff0c\u9700\u5728\u5408\u7406\u6642\u9593\u5167\u63d0\u4f9b\u670d\u52d9\uff0c\u4ee5\u53ca\u5728\u6c92\u6709\u8a02\u7acb\u50f9\u9322\u7684\u670d\u52d9\u5408\u7d04\u4e2d\uff0c\u5546\u5bb6\u53ef\u6536\u53d6\u5408\u7406\u8cbb\u7528\u7b49\u3002<\/p>\n\n\n\n<p>\u56e0\u6b64\uff0c\u9999\u6e2f\u6cd5\u4f8b\u76ee\u524d\u6c92\u6709\u898f\u5b9a\u5546\u5bb6\u8a2d\u7acb\u51b7\u975c\u671f\uff0c\u8b93\u6d88\u8cbb\u8005\u8cfc\u8cb7\u7522\u54c1\u6216\u670d\u52d9\u5f8c\uff0c\u5728\u6307\u5b9a\u671f\u9650\u5167\u7121\u689d\u4ef6\u9000\u6b3e\u3002<\/p>\n\n\n\n<p>\u5c11\u6578\u884c\u696d\u7684\u6cd5\u5b9a\u5546\u6703\uff0c\u81ea\u9858\u898f\u5b9a\u884c\u5167\u5546\u5bb6\u8a2d\u7acb\u51b7\u975c\u671f\uff0c\u4f8b\u5982\u4fdd\u96aa\u53ca\u9280\u884c\u696d\uff0c\u4f46\u5927\u90e8\u5206\u884c\u696d\u5747\u6c92\u6709\u884c\u898f\uff0c\u4ea6\u6c92\u6709\u884c\u696d\u7d44\u7e54\u898f\u5b9a\u5546\u5bb6\u8a2d\u7acb\u51b7\u975c\u671f\u3002<\/p>\n\n\n\n<p>\u5065\u8eab\u884c\u696d\u6c92\u6709\u6cd5\u5b9a\u5546\u6703\uff0c\u5546\u5bb6\u53ef\u81ea\u884c\u6c7a\u5b9a\u662f\u5426\u5728\u5408\u7d04\u4e2d\u8a02\u7acb\u51b7\u975c\u671f\u3002\u5982\u6c92\u6709\u5982\u6b64\u8a02\u7acb\uff0c\u6d88\u8cbb\u8005\u5247\u6c92\u6709\u51b7\u975c\u671f\u7684\u6b0a\u5229\uff0c\u5982\u4ed6\u5011\u9810\u7e73\u8cbb\u7528\u5f8c\u6539\u8b8a\u4e3b\u610f\uff0c\u4ea6\u4e0d\u80fd\u8981\u6c42\u9000\u6b3e\uff0c\u5426\u5247\u5c6c\u65bc\u9055\u7d04\u3002<\/p>\n\n\n\n<p>2. \u5728\u6c92\u6709\u51b7\u975c\u671f\u7684\u5408\u7d04\u4e2d\uff0c\u6d88\u8cbb\u8005\u6709\u4efb\u4f55\u6b0a\u76ca\u55ce\uff1f<\/p>\n\n\n\n<p>\u5982\u4e0a\u8ff0\uff0c\u6cd5\u5ead\u5c0a\u91cd\u96d9\u65b9\u4f60\u60c5\u6211\u9858\u8a02\u7acb\u7684\u5408\u7d04\u3002\u5982\u6d88\u8cbb\u8005\u5728\u88ab\u300c\u5a01\u903c\u300d (duress) \u6216\u300c\u8aa4\u5c0e \u300d(misrepresentation) \u60c5\u6cc1\u4e0b\u7c3d\u7f72\u5408\u7d04\u53ca\u4ed8\u6b3e\uff0c\u4f9d\u7136\u53ef\u6839\u64da\u5408\u7d04\u6cd5\u8981\u6c42\u6cd5\u5ead\u88c1\u5b9a\u5408\u7d04\u7121\u6548\u3002<\/p>\n\n\n\n<p>\u7576\u7136\uff0c\u9019\u4ea6\u610f\u5473\u8457\u6253\u5b98\u53f8\uff0c\u4ee5\u53ca\u53ef\u80fd\u9700\u8981\u652f\u4ed8\u9f90\u5927\u7684\u5f8b\u5e2b\u8cbb\u7528\uff0c\u800c\u9810\u7e73\u91d1\u984d\u5f80\u5f80\u53ea\u662f\u5341\u6578\u842c\u5143\u5167\uff0c\u6d88\u8cbb\u8005\u96e3\u514d\u89ba\u5f97\u672a\u5fc5\u503c\u5f97\u8058\u7528\u5f8b\u5e2b\u8655\u7406\uff0c\u800c\u4e14\u7c3d\u7f72\u5408\u7d04\u6642\u88ab\u5a01\u903c\u6216\u8aa4\u5c0e\u7684\u6307\u63a7\uff0c\u5f80\u5f80\u53ea\u662f\u300c\u53e3\u540c\u9f3b\u62d7\u300d\uff0c\u96e3\u6709\u5be6\u8cea\u8b49\u64da\u8b49\u660e\uff0c\u52dd\u7b97\u96e3\u6599\u3002 \u7533\u7d22\u91d1\u984d\u4e03\u842c\u4e94\u5143\u4ee5\u4e0b\u53ef\u81ea\u884c\u5728\u5c0f\u984d\u9322\u50b5\u5be9\u88c1\u8655\u81ea\u884c\u8655\u7406\uff0c\u4f46\u4ea6\u9817\u70ba\u8cbb\u6642\uff0c\u4ea6\u6709\u540c\u6a23\u7684\u52dd\u7b97\u554f\u984c\u3002<\/p>\n\n\n\n<p>3. \u9999\u6e2f\u61c9\u8a72\u8a02\u7acb\u6cd5\u5f8b\uff0c\u5f37\u5236\u5546\u5bb6\u63d0\u4f9b\u51b7\u975c\u671f\u55ce\uff1f<\/p>\n\n\n\n<p>\u8fd1\u5e74\uff0c\u90e8\u4efd\u884c\u696d\u5982\u7f8e\u5bb9\u53ca\u5065\u8eab\u754c\uff0c\u5546\u5bb6\u5e38\u4ee5\u8d85\u9577\u671f\u9810\u7e73\u5408\u7d04\uff0c\u8981\u6c42\u5ba2\u6236\u7e73\u4ed8\u5de8\u984d\uff0c\u800c\u5728\u5012\u9589\u6642\uff0c\u5f80\u5f80\u5c0e\u81f4\u5ba2\u6236\u8499\u53d7\u5de8\u984d\u640d\u5931\uff0c\u793e\u6703\u4e0a\u6f38\u591a\u8981\u6c42\u8a02\u7acb\u51b7\u975c\u671f\u6cd5\u4f8b\u7684\u547c\u8072\u3002<\/p>\n\n\n\n<p>\u5f37\u5236\u898f\u5b9a\u8a02\u7acb\u51b7\u975c\u671f\u6709\u5229\u6709\u5f0a\uff0c\u5229\u8655\u662f\u4fdd\u969c\u6d88\u8cbb\u8005\uff0c\u5f0a\u7aef\u662f\u524a\u5f31\u4e86\u5408\u7d04\u7cbe\u795e\uff0c\u4ee4\u5546\u5bb6\u6210\u672c\u4e0a\u5347\u3002<\/p>\n\n\n\n<p>\u5373\u4fbf\u5982\u6b64\uff0c\u4f3c\u4e4e\u9999\u6e2f\u4ee5\u5916\u4e0d\u5c11\u5730\u5340\u5747\u6709\u51b7\u975c\u671f\u7684\u6cd5\u5b9a\u8981\u6c42\u3002\u5982\u9999\u6e2f\u5236\u5ea6\u51b7\u975c\u671f\u6cd5\u4f8b\uff0c\u4ea6\u61c9\u540c\u6642\u8003\u616e\u6d88\u8cbb\u8005\u6b0a\u76ca\u4ee5\u53ca\u5546\u5bb6\u7d93\u71df\u7684\u5be6\u969b\u60c5\u6cc1\uff0c\u5f9e\u800c\u5236\u5b9a\u5408\u9069\u7684\u8981\u6c42\u3002<\/p>\n\n\n\n<p>4. \u8a02\u7acb\u4e86\u51b7\u975c\u671f\uff0c\u5982\u5065\u8eab\u5ba4\u7d50\u696d\uff0c\u6d88\u8cbb\u8005\u5c31\u53ef\u8ffd\u56de\u9810\u7e73\u91d1\u984d\u55ce\uff1f<\/p>\n\n\n\n<p>\u4e0d\u662f\u7684\uff0c\u9019\u662f\u5169\u56de\u4e8b\u3002<\/p>\n\n\n\n<p>\u6d88\u8cbb\u8005\u53ef\u5728\u5408\u7d04 (\u6216\u5c07\u4f86\u7684\u6cd5\u4f8b\uff09\u8a02\u660e\u7684\u51b7\u975c\u671f\u5167\u8981\u6c42\u9000\u6b3e\u53ca\u53d6\u6d88\u5408\u7d04\u3002<\/p>\n\n\n\n<p>\u4f46\u904e\u4e86\u51b7\u975c\u671f\u5f8c\uff0c\u6d88\u8cbb\u8005\u6c92\u6709\u9000\u6b3e\u4ee5\u53ca\u4f7f\u7528\u670d\u52d9\u7684\u8a71\uff0c\u5728\u5065\u8eab\u516c\u53f8\u5012\u9589\u53ca\u6e05\u76e4 (winding up) \u6642\uff0c\u8207\u5176\u4ed6\u7121\u62b5\u62bc\u50b5\u6b0a\u4eba(unsecured creditors) \u4e00\u6a23\uff0c\u9700\u7b49\u5f85\u6e05\u76e4\u4eba (liquidator) \u5b8c\u6210\u6e05\u76e4\u7a0b\u5e8f\uff0c\u5c07\u516c\u53f8\u50c5\u6709\u7684\u8cc7\u7522\u5206\u6d3e\u7d66\u9019\u4e9b\u50b5\u6b0a\u4eba\u3002<\/p>\n\n\n\n<p>\u6d88\u8cbb\u8005\u5728\u9019\u985e\u60c5\u6cc1\uff0c\u8207\u6709\u62b5\u62bc\u50b5\u6b0a\u4eba (secured creditors)\u4e0d\u540c\uff0c\u4e26\u6c92\u6709\u512a\u5148\u53d6\u56de\u6b3e\u9805\u7684\u6b0a\u5229\u3002<\/p>\n\n\n\n<p>5.
