{"id":985,"date":"2024-06-05T14:57:45","date_gmt":"2024-06-05T06:57:45","guid":{"rendered":"https:\/\/cph-legal.com\/?p=985"},"modified":"2024-06-05T14:57:52","modified_gmt":"2024-06-05T06:57:52","slug":"contractual-dispute-interpretation-of-ambiguous-terms","status":"publish","type":"post","link":"https:\/\/cph-legal.com\/en\/2024\/06\/contractual-dispute-interpretation-of-ambiguous-terms\/","title":{"rendered":"\u6253\u5408\u7d04\u5b98\u53f8\u662f\u5426\u300c\u6349\u5b57\u8768\u300d\uff1f"},"content":{"rendered":"<p>\u5e02\u6c11\u5927\u773e\u5e38\u4ee5\u70ba\u6253\u5b98\u53f8\u662f\u9b25\u6349\u5b57\u8768\u3002 \u78ba\u5be6\uff0c\u767d\u7d19\u9ed1\u5b57\u7684\u5408\u7d04\uff0c\u6709\u5404\u65b9\u7c3d\u7f72\uff0c\u5408\u7d04\u689d\u6b3e\u7684\u5b57\u9762\u610f\u601d\uff0c\u5c31\u6709\u6cd5\u5f8b\u6548\u529b\uff0c\u53ef\u7d04\u675f\u96d9\u65b9\u4e86\u3002\u4e00\u7d19\u5408\u7d04\uff0c\u9060\u52dd\u96d9\u65b9\u5343\u8a00\u842c\u8a9e\u3002<\/p>\n\n\n\n<p>\u7136\u800c\uff0c\u6709\u6642\u5019\uff0c\u5408\u7d04\u689d\u6b3e\u5b57\u773c\u6a21\u7cca\u4e0d\u6e05\u3002\u591a\u5e74\u5f8c\u8d77\u722d\u8b70\uff0c\u5408\u7d04\u5404\u65b9\u5404\u81ea\u89e3\u8b80\uff0c\u6311\u9078\u6700\u81ea\u5df1\u6709\u6709\u5229\u7684\u8a6e\u91cb\u65b9\u6cd5\u3002 \u5481\u5462\u500b\u6642\u5019\u9ede\u7b97\uff1f<\/p>\n\n\n\n<p>\u7576\u5408\u7d04\u689d\u6b3e\u542b\u7cca\u6642\uff0c\u6cd5\u5ead\u6703\u5617\u8a66\u4ee3\u5165\u89d2\u8272\uff0c\u8a2d\u60f3\u5408\u7d04\u5404\u65b9\u5728\u7c3d\u7f72\u6587\u4ef6\u6642\uff0c\u6703\u5982\u4f55\u5408\u7406\u5730\u7406\u89e3\u9019\u4e9b\u5408\u7d04\u689d\u6b3e\u7684\u610f\u601d\u3002<\/p>\n\n\n\n<p>\u63db\u8a00\u4e4b\uff0c\u8a6e\u91cb\u5408\u7d04\u689d\u6b3e\u6642\uff0c\u9999\u6e2f\u6cd5\u5ead\u6703\u63a1\u53d6\u5ba2\u89c0\u7684\u8a6e\u91cb\u65b9\u5f0f\u3002 \u4f7f\u7528\u5ba2\u89c0\u6027\u8a6e\u91cb\u65b9\u6cd5\u6642\uff0c\u6cd5\u5ead\u9664\u4e86\u8003\u616e\u689d\u6b3e\u7684\u5b57\u9762\u610f\u601d\uff0c\u4e5f\u6703\u8003\u616e\u5354\u8b70\u5167\u7684\u524d\u6587\u5f8c\u7406\u3002<\/p>\n\n\n\n<p>\u7576\u5408\u7d04\u689d\u6b3e\u6a21\u7cca\u3001\u986f\u5f97\u8352\u8b2c\u3001\u6216\u8207\u5354\u8b70\u7684\u5176\u4ed6\u90e8\u5206\u76f8\u77db\u76fe\u6642\uff0c\u6cd5\u5ead\u4ea6\u6703\u8003\u616e\u76f8\u95dc\u5546\u696d\u908f\u8f2f\uff0c\u800c\u76e1\u529b\u8a6e\u91cb\u5354\u8b70\u5404\u65b9\u7c3d\u7f72\u5408\u7d04\u6642\u7684\u610f\u9858\u3002<\/p>\n\n\n\n<p>\u7d42\u5be9\u6cd5\u9662\u5728RIVER TRADE TERMINAL CO LTD v. SECRETARY FOR JUSTICE &#8211; [2005] HKCU 378\u6848\u4e2d\u63d0\u53ca\u8a6e\u91cb\u5546\u696d\u5408\u7d04\u6642\uff0c\u9700\u8981\u8003\u616e\u5230\u7c3d\u8a02\u5408\u7d04\u6642\uff0c\u5408\u7d04\u5404\u65b9\u5df2\u77e5\u7684\u5ba2\u89c0\u4e8b\u5be6\uff0c\u4ee5\u53ca\u9019\u4efd\u5408\u7d04\u80cc\u5f8c\u7684\u5546\u696d\u76ee\u7684 (commercial purpose)\uff1a<\/p>\n\n\n\n<p>&#8221; It is of course well-established that in construing a commercial contract\u2026 the court is entitled to take into account the matrix of fact, meaning the objective surrounding circumstances, known to both parties, in which the agreement was made\u2026<\/p>\n\n\n\n<p>&#8216;\u2026In a commercial contract it is certainly right that the court should know the commercial purpose of the contract and this in turn presupposes knowledge of the genesis of the transaction, the background, the context, the market in which the parties are operating.&#8217; &#8220;<\/p>\n\n\n\n<p>\u5728\u53e6\u4e00\u5b97\u6848\u4ef6\u4e2d ( Jumbo King Ltd v Faithful Properties Ltd (1999) 2 HKCFAR 279 )\uff0c\u7d42\u5be9\u6cd5\u9662\u4ea6\u8868\u660e\u8a6e\u91cb\u5408\u7d04\u6642\uff0c\u4e26\u4e0d\u53ea\u91dd\u5c0d\u500b\u5225\u5b57\u773c\uff0c\u56e0\u8a6e\u91cb\u5408\u7d04\u4e26\u975e \u300c\u6587\u5b57\u904a\u6232\u300d\u3002\u6cd5\u5ead\u6703\u8003\u616e\u5168\u4efd\u5354\u8b70\u7684\u5167\u5bb9\uff0c\u4ee5\u53ca\u7c3d\u7f72\u5354\u8b70\u6642\u7684\u80cc\u666f\u7b49\uff0c\u5f9e\u800c\u7406\u89e3\u5408\u7d04\u5404\u65b9\u7c3d\u7f72\u5354\u8b70\u6642\uff0c\u610f\u6b32\u9054\u81f4\u7684\u5546\u696d\u76ee\u7684\u3002<\/p>\n\n\n\n<p>&#8221; \u2026The construction of a document is not a game with words. It is an attempt to discover what a reasonable person would have understood the parties to mean. And this involves having regard, not merely to the individual words they have used, but to the agreement as a whole, the factual and legal background against which it was concluded and the practical objects which it was intended to achieve.&#8221;<\/p>\n\n\n\n<p>\u7531\u6b64\u53ef\u898b\uff0c\u6cd5\u5ead\u8a6e\u91cb\u5408\u7d04\u689d\u6b3e\u6642\uff0c\u6703\u8003\u616e\u5168\u76e4\u56e0\u7d20\uff0c\u4e26\u975e\u6349\u5b57\u8768\u7684\u6587\u5b57\u904a\u6232\u3002<\/p>\n\n\n\n<p>\u5927\u5bb6\u53ef\u80fd\u6703\u554f\uff0c\u300c\u5481\u54aa\u767d\u7d19\u9ed1\u5b57\u5beb\u5de6\u90fd\u5514\u7b97\u6578\uff1f\u300d \u78ba\u5be6\uff0c\u8a6e\u91cb\u5408\u7d04\u689d\u6b3e\u6642\uff0c\u5728\u5b57\u9762\u610f\u601d\u8207\u96d9\u65b9\u7576\u6642\u7684\u5546\u696d\u76ee\u7684\u4e4b\u9593\uff0c\u6709\u6642\u96e3\u514d\u6709\u885d\u7a81\u3002\u5728\u5b57\u88e1\u884c\u9593\u8207\u5546\u696d\u5408\u4f5c\u7684\u80cc\u666f\u4e4b\u9593\uff0c\u6cd5\u5b98\u7684\u5de5\u4f5c\u5c31\u662f\u8981\u76e1\u91cf\u6e96\u78ba\u5730\u5c0b\u56de\u7576\u521d\u5927\u5bb6\u7684\u771f\u6b63\u610f\u601d\u3002<\/p>\n\n\n\n<p>\u597d\u7684\u5224\u8a5e\u80fd\u670d\u773e\uff0c\u8a34\u8a1f\u5404\u65b9\u5305\u62ec\u8f38\u5bb6\u90fd\u5fc3\u6085\u8aa0\u670d\uff0c\u4ea6\u7d93\u5f97\u8d77\u4e0a\u8a34\u7684\u8003\u9a57\uff0c\u50b3\u5a92\u53ca\u5e02\u6c11\u7684\u8a55\u8ad6\uff0c\u9084\u6709\u6cd5\u5f8b\u5b78\u8005\u5c0d\u5176\u6cd5\u7406\u908f\u8f2f\u7684\u6279\u5224\u3002<\/p>\n\n\n\n<p>\u505a\u6cd5\u5b98\uff0c\u78ba\u5be6\u662f\u7d55\u4e0d\u5bb9\u6613\u7684\u5de5\u4f5c\u3002<\/p>","protected":false},"excerpt":{"rendered":"<p>\u5e02\u6c11\u5927\u773e\u5e38\u4ee5\u70ba\u6253\u5b98\u53f8\u662f\u9b25\u6349\u5b57\u8768\u3002
